ANTI-TRUST REMINDER

 

In recent years, the insurance industry’s exposure to antitrust laws in the United States at both the state and federal levels has markedly increased. Though sound arguments remain that most of the activities of AASCIF and its members are exempt from anti-trust laws, you should be mindful of some of the basic tenets of anti-trust law and of how anti-trust considerations might affect your interaction with other Association members.

Federal and state anti-trust laws in the U.S. are designed to protect the public from agreements between competitors that affect the price or distribution of products and services or that otherwise restricts or reduces competition. Many state funds are, or may be in the future, engaged in some degree of competition (real or perceived) with other state funds. Accordingly, members are reminded to exercise caution in discussing or exchanging information that may be regarded as “competitively sensitive” with other Association members, particularly those that may be doing business in overlapping markets, and should avoid activities that could be interpreted as showing a willingness to enter into an agreement to restrict or reduce competition. Some examples of the types of activities members may wish to avoid are:

  • Discussions among members in overlapping markets regarding the future business plans of individual members, including intentions to raise, lower or stabilize pricing (premiums or commissions), to offer or not to offer certain coverage or to quote or not to quote certain types or classes or risks;
  • Discussions or agreements (tacit or overt) that have the effect of dividing territories or customers among competitors;
  • Discussions or agreements (tacit or overt) among competitors to do business or to refuse to do business with certain agents, brokers, insureds, reinsurers, etc.; and
  • Discussions or agreements (tacit or overt) relating to individual vendors or suppliers that might have the effect of excluding them from any market.

You may decide not to participate in (or to exit) any meetings or discussions in which competitively sensitive information is presented or exchanged. Of course, if you have questions or concerns regarding the anti-trust implications of any activity, you should always consult with your company counsel.
